A raíz de la medida, en agosto de 2015, Juan Ariel Jiménez fue designado viceministro de la Presidencia, encargado de las Políticas de Desarrollo, con alto protagonismo en fideicomiso y alianza público privada.
Santo Domingo.- El gobierno de Danilo Medina ordenó la constitución de un Fideicomiso Público e Irrevocable, de desarrollo inmobiliario de infraestructuras turísticas, a ser denominado «Fideicomiso para el Desarrollo Turístico de Pedernales» (Fideicomiso DTP RD).
Mediante el decreto 186-15, del 5 de junio de 2015, el entonces mandatario estableció que el Fideicomiso DTP RD tenía por objeto la creación de las estructuras legales, financieras y administrativas independientes para la administración o disposición del patrimonio fideicomitido, el cual se compondrían de los derechos y demás bienes muebles e inmuebles que serán aportados por el Estado dominicano.
Además, que se compondrán por aquellos activos y recursos que puedan ingresar a dicho patrimonio en cualquier momento, conforme a los mecanismos que sean previstos en el contrato de fideicomiso. El propósito era crear un nuevo polo turístico, ecológico y sostenible, que abarcará la provincia Pedernales, con la finalidad de convertirla en zona líder de turismo, a través de la diversificación de sus mercados y productos.
A raíz de la medida, el 3 agosto de 2015, Juan Ariel Jiménez fue designado viceministro de la Presidencia, encargado de las Políticas de Desarrollo, a través del decreto 236-15. Trabajó con gran protagonismo en los temas de Fideicomiso y Alianza Público- Privada, de la mano de Gustavo Montalvo.
El decreto dispuso como zona a desarrollar, a través del Fideicomiso DTP RD, exclusivamente la zona comprendida entre Pedernales (inclusive) y La Cueva (entrada al Parque Nacional Jaragua y a la playa Bahía de las Águilas).
Su creación fue dentro del marco de las disposiciones de la Ley 189-11, del 16 de julio de 2011, para el Desarrollo del Mercado Hipotecario y Fideicomiso en la República Dominicana, y su Reglamento de Aplicación, establecido por el decreto 95-12, del 2 de marzo de 2012, y de las demás normas legales complementarias aplicables.
La iniciativa presidencial indica que el Fideicomiso DTP RD podrá procurar los recursos que fueren necesarios para viabilizar su objeto mediante: (i) la incorporación de nuevos bienes al patrimonio fideicomitido, solicitados por el Comité Fiduciario y/o realizados por el Estado dominicano, con la aceptación de la Fiduciaria; (ii) la venta, alquiler, concesión o disposición de los bienes que conforman el patrimonio fideicomitido.
Ello respondía, conforme a las instrucciones que sean provistas por el Comité Fiduciario; (iii) financiamientos bancarios o de cualquier naturaleza; (iv) la emisión de oferta pública contra garantía del patrimonio; (v) donaciones o aportes de terceros; y (vi) cualquier otro mecanismo de financiación o capitalización que el Comité Fiduciario estime conveniente
El presidente Medina dispuso en el que serán partes en el Fideicomiso DTP RD el Estado dominicano, como Fideicomitente y Fideicomisario. En tanto, a la sociedad Fiduciaria Reservas, S. A., como la Fiduciaria.
Conforme a la disposición del Ejecutivo, los proyectos que pudieran ser desarrollados en la zona objeto del Fideicomiso se llevarían a cabo mediante fideicomisos independientes, que podrán ser privados, públicos o mixtos, los cuales serían constituidos conforme a las condiciones que fueran establecidas por el Comité Fiduciario, en función del objeto y las características del proyecto o acto a ejecutar.
Otorgó poder especial al Ministro de la Presidencia, para que, a nombre y en representación del Estado dominicano, suscribiera el contrato constitutivo de fideicomiso antes descrito; así como, todos los documentos que resulten necesarios para hacer efectiva la creación y la fiel ejecución de los fines perseguidos con la constitución del Fideicomiso DTP RD.
Estableció que la duración de este fideicomiso público será de 30 años, contados a partir de la suscripción del contrato constitutivo del fideicomiso.
“Transcurrido este plazo, salvo prórroga expresa, por decisión del Fideicomitente, se extinguirá el Fideicomiso DTP RD y se revertirán los bienes del patrimonio fideicomitido al Estado dominicano, en su calidad de Fideicomisario”, señala el decreto.
El fideicomiso, se decidió, contará con un Comité Fiduciario, como órgano auxiliar, el cual estará integrado por los siguientes miembros exoficio: El ministro de la Presidencia, como presidente; ministro de Economía, Planificación y Desarrollo, vicepresidente; ministro de Hacienda, secretario; y como miembros los ministros de Turismo, Medio Ambiente y Recursos Naturales, Obras Públicas y el consultor Jurídico del Poder Ejecutivo.
Fideicomiso es instrumento eficaz
En uno de los considerandos del decreto se expuso que “Que la figura jurídica del Fideicomiso, establecida en la Ley No.189-11, para el Desarrollo del Mercado Hipotecario y el Fideicomiso en la República Dominicana, es un instrumento eficaz para incentivar las inversiones que permitan el desarrollo turístico en zonas como la provincia Pedernales”.
Otro de los considerandos rezaba: Que es voluntad y prioridad del Estado dominicano lograr el desarrollo estable del sector turismo, en zonas con atractivos turísticos competitivos, por lo que ha elaborado un plan para desarrollar el polo turístico, ecológico y sostenible, que abarcará la provincia Pedernales, con el propósito de convertirla en zona líder de turismo, a través de la diversificación de sus mercados y productos”.
Párrafos del decreto
En el artículo 9 del decreto se incluye estos párrafos:
I: Por cada miembro titular, se designará un suplente, que tendrá que ser un funcionario subalterno, de jerarquía inmediatamente inferior a la del titular. Todos los integrantes del Comité Fiduciario participarán con voz y voto y desempeñarán sus cargos de forma honorífica. El Comité Fiduciario, a través de su Presidente, podrá invitar a participar en sus sesiones a personas físicas o morales o a instituciones públicas, vinculadas o relacionadas con los asuntos a tratar en las mismas. Al Comité Fiduciario asistirá el representante de la Fiduciaria, con voz; pero sin voto.
II: El Comité Fiduciario del Fideicomiso DTP RD aprobará los actos que se requieran para el cumplimiento de sus fines, de acuerdo con lo que se especifique en el contrato constitutivo del fideicomiso y lo dispuesto en la normativa legal aplicable.
III: El Comité Fiduciario nombrará una Gerencia Técnica o Dirección Ejecutiva del Fideicomiso, la cual se ocupará de la ejecución de los actos aprobados por el Comité Fiduciario, y de la elaboración de los términos de referencia de todos los proyectos que puedan ser desarrollados en la zona geográfica determinada, a los fines del fideicomiso; así como, los términos de referencia de todos los procesos que sean necesarios para la consecución de los fines del Fideicomiso DTP RD.
